SERVICE SUBSCRIPTION AGREEMENT (VERSION OF 1, 1.10.2023) The following service subscription agreement (hereinafter referred to as the ”Agreement”) shall apply for companies’ and other organizations’ (hereinafter referred to as the ”Customer”) use of Epicbrief Oy (hereinafter referred to as “Epicbrief”) “Subscription service” (hereinafter referred to as the “Epicbrief Subscription”). The order form, which contains details of the Customer’s order in force at any time, shall apply as an integrated part of the Agreement.

1. Acceptance and term of the Agreement
1.1. Acceptance of the Agreement
The Agreement becomes binding and effective upon Customer’s acceptance of the Order Form, which may take place in the following ways:
a) If the Order Form is provided to Customer via e-mail the acceptance takes place when Epicbrief receives a      
    written acceptance via e-mail, print, fax, e-signature from Customer; or
b) If the Order Form is provided to Customer via a web form or similar the acceptance takes place when  
    Customer clicks on the designated “accept” button.
1.2. The term of the Agreement
The Agreement becomes effective on the date specified in the Order Form (hereinafter referred to as the “Effective Date”), cf. section 1.1, and shall be in force until terminated in accordance with section 7.

2. Epicbrief’s obligations
2.1. Delivery of the number of the subscription services indicated in the Order Form
2.2. Support The Customer has access to Epicbrief support via e-mail to support@epicbrief.com

3. The Customer’s obligations
The Customer shall be obligated to Comply with the Agreement in force at any time.

4. Impartiality
The Agreement shall not be regarded as Epicbrief’s approval, endorsement or recommendation of the Customer, the Customer’s products or services. The Customer may not market itself or by other way give public declarations in conflict with the above.

5. Prices and payment terms
5.1. Prices
Unless otherwise is specified in the Order Form, all prices are stated in EUR exclusive of VAT and other taxes. Any changes in Epicbrief’s prices shall be informed to the Customer by written notice no later than 45 days prior to the expiration of the current term and become effective for the subsequent renewal term.
5.2. Payment
Unless otherwise is specified in the Order Form, Epicbrief’s Subscription shall be invoiced in advance for each period the Agreement is in force, cf. section 7; and payment terms shall be net 8 days from the invoice date.

6. Term and termination
6.1. Initial Term
The Agreement will commence on the Effective Date and continues for the duration specified in the Order Form (hereinafter referred to as “Initial Term”). If the Start Date as specified in the Order Form differs from the Effective Date the Initial Term shall commence from the Start Date. This does not affect the Agreement’s Effective Date.
6.2. Automatic renewal
On the last day of the Initial Term, and each subsequent anniversary of that date, the Agreement shall automatically renew at the initial price for an additional period of the same duration as the Initial Term, unless the Customer notifies Epicbrief of its intent not to renew no less than 15 days prior to the end of the then-current term. The Customer’s notification of non-renewal shall be made to: Epicbrief
6.3. Termination by Epicbrief without cause Epicbrief shall be entitled to terminate the Agreement by written notice of 15 days to the Customer.

7. Applicable law and venue
The Agreement and any disputes relating to or accruing from the Agreement shall be governed by Finnish law. Any disputes relating to or accruing from the Agreement and the Customer’s use of Epicbrief’s Subscription shall be settled in the city court of Helsinki in the first instance.
