01Acceptance and term of the Agreement

1.1Acceptance of the Agreement

The Agreement becomes binding and effective upon the Customer's acceptance of the Order Form, which may take place in the following ways:

• If the Order Form is provided to the Customer via email, acceptance takes place when Epicbrief receives a written acceptance via email, print, fax, or e-signature from the Customer; or
• If the Order Form is provided via a web form or similar, acceptance takes place when the Customer clicks the designated "accept" button.

1.2The term of the Agreement

The Agreement becomes effective on the date specified in the Order Form (the "Effective Date"), per section 1.1, and remains in force until terminated in accordance with the Term and termination provisions below.

02Epicbrief's obligations

2.1Delivery

Delivery of the number of subscription services indicated in the Order Form.

2.2Support

The Customer has access to Epicbrief support via email at support@epicbrief.com.

03The Customer's obligations

The Customer shall be obligated to comply with the Agreement in force at any time.

04Impartiality

The Agreement shall not be regarded as Epicbrief's approval, endorsement, or recommendation of the Customer, or the Customer's products or services. The Customer may not market itself or otherwise make public declarations in conflict with the above.

05Prices and payment terms

5.1Prices

Unless otherwise specified in the Order Form, all prices are stated in EUR exclusive of VAT and other taxes. Any changes in Epicbrief's prices shall be communicated to the Customer by written notice no later than 45 days prior to the expiration of the current term, and become effective for the subsequent renewal term.

5.2Payment

Unless otherwise specified in the Order Form, the Epicbrief Subscription shall be invoiced in advance for each period the Agreement is in force, and payment terms shall be net 8 days from the invoice date.

06Term and termination

6.1Initial Term

The Agreement commences on the Effective Date and continues for the duration specified in the Order Form (the "Initial Term"). If the Start Date specified in the Order Form differs from the Effective Date, the Initial Term commences from the Start Date. This does not affect the Agreement's Effective Date.

6.2Automatic renewal

On the last day of the Initial Term, and on each subsequent anniversary of that date, the Agreement automatically renews at the initial price for an additional period of the same duration as the Initial Term — unless the Customer notifies Epicbrief of its intent not to renew no less than 15 days prior to the end of the then-current term.

6.3Termination by Epicbrief without cause

Epicbrief is entitled to terminate the Agreement by written notice of 15 days to the Customer.

07Applicable law and venue

The Agreement, and any disputes relating to or arising from it, shall be governed by Finnish law. Any disputes relating to or arising from the Agreement and the Customer's use of the Epicbrief Subscription shall be settled in the District Court of Helsinki in the first instance.
